Services Agreement & Privacy Policy

This Services Agreement ("Agreement") governs the terms under which Charis Blueweb Ltd ("Agency", "we", or "us") provides web and mobile application development services to our clients ("Client", "you"). By engaging our services, you agree to the following terms, conditions, and privacy practices.

1. Agency Data Collection & Privacy Policy

As a development agency, Charis Blueweb Ltd collects and processes specific information necessary to deliver our services:

Information We Collect: We collect client contact details, project briefs, technical specifications, and payment information.
How We Use Your Data: Any confidential business information, proprietary data, or access credentials shared with us during the development lifecycle are used strictly for building, testing, deploying, and maintaining the requested digital products.
Data Protection: We implement standard security measures to protect your project data during development. We do not sell, rent, or share your proprietary business information with unauthorized third parties.

2. Intellectual Property (IP) Ownership

During Development: Charis Blueweb Ltd retains full ownership of all custom code, design assets, and development environments created during the project lifecycle.
Upon Completion: Upon full and final payment of all outstanding invoices, the intellectual property rights for the finalized application, custom code, and specific design assets are transferred to the Client. The Agency retains the right to use non-confidential project assets for portfolio and marketing purposes unless a separate Non-Disclosure Agreement (NDA) is signed.

3. Payment and Access Terms

Timely compensation is required for the continuous progression and handover of development projects.

Payment Schedules: Projects are subject to agreed-upon payment milestones. Work may be paused if milestone payments are delayed.
Final Handover: The final handover of project deliverables - including the transfer of source code, deployment files, and server cPanel access - is strictly contingent upon the full settlement of all outstanding project invoices. Charis Blueweb Ltd reserves the right to withhold access to hosting environments and administrative panels until client payments are completed in full.

4. Third-Party Services & Integrations

The applications and websites we build frequently rely on external infrastructure, backend databases, hosting providers, and third-party APIs.

Charis Blueweb Ltd is not responsible or liable for any outages, data breaches, service interruptions, or sudden changes to terms and pricing originating from these external providers.
Clients are responsible for maintaining their own accounts, subscriptions, and compliance with any third-party services integrated into their platforms.

5. Disclaimer of Affiliation and Ownership

Charis Blueweb Ltd functions strictly as an independent technology and development provider. Once a project is delivered, the Client assumes full responsibility for its operation, legal compliance, and user management.

We do not retain operational control over the finalized applications, and we do not have any affiliation with their respective owners. Any views, actions, services, or transactions conducted through the websites, software, or mobile apps we build are entirely the responsibility of the product's owner and operators.

6. Client and User Responsibility

Clients are solely responsible for providing their own comprehensive Privacy Policies, Terms of Service, and End User License Agreements (EULAs) for their specific end-users. Charis Blueweb Ltd accepts no responsibility for a Client's failure to adequately protect their users' data or comply with local, regional, or international laws governing their specific platform.

7. Termination of Services

Charis Blueweb Ltd reserves the right to suspend or terminate development services or hosting support if:

The Client breaches any term of this Agreement.
Invoices remain unpaid beyond the agreed-upon grace period.
The Client requests the development of features that facilitate illegal activities, severe platform abuse, or violate third-party terms of service.

In the event of termination due to Client breach, no refunds will be issued for work already completed.
