These terms and conditions govern services provided by Charis Blueweb Ltd. By engaging our services, you agree to them. Please read them before work starts.

1. Definitions

Company: Charis Blueweb Ltd.
Client: The individual or entity that engages the Company.
Services: Work provided by the Company, including web design, development, hosting, and maintenance.
Deliverables: The products or services delivered, including websites, applications, and digital assets.

2. Service agreement

The Company will provide services as agreed in writing or by electronic communication. Scope, timeline, and pricing will be in a proposal or contract.

3. Payment terms

All services require a non-refundable deposit of 60% to begin work.
The remaining balance is due on completion, before final deliverables are released.
Work outside the original scope is billed separately.
Late payments may incur a 10% fee after 30 days past due.

4. Project timeline

The Company will work to the agreed timeframe. Delays can occur from unforeseen issues or late client feedback. Scope changes may change the timeline and the fee.

5. Client responsibilities

The Client supplies text, images, and logos in time.
The Client reviews and approves stages as set out in the proposal.
Missing feedback or approval in the agreed window may delay the work or add fees.

6. Revisions and changes

The Company offers 60 days of revision rounds within the original scope.
Further revisions are charged at the Company’s standard hourly rate.

7. Intellectual property

On full payment, the Client owns the rights to the finished website or product. The Company may use custom code, designs, or templates for portfolio purposes unless otherwise agreed.
Open-source software or third-party plugins remain under their own licences.

8. Warranties and disclaimers

The Company provides a 30-day warranty to fix errors or bugs. It does not cover new functionality or design outside the original scope.
The Company is not responsible for issues from third-party services, software, or hosts.

9. Termination

Either party may end the agreement in writing. The Client pays for work done up to the termination date.
If the Client cancels after work has begun, the deposit is not refunded.

10. Limitation of liability

The Company is not liable for indirect, special, or consequential damages from use or inability to use the deliverables. Total liability for any claim will not exceed the amount paid for the services in question.

11. Confidentiality

Both parties keep sensitive information confidential, including trade secrets, intellectual property, and personal data shared during the project.

12. Governing law

These terms are governed by the laws of the Federal Republic of Nigeria. Disputes are subject to the exclusive jurisdiction of the courts.

13. Amendments

The Company may update these terms. Clients will be told of significant changes.
